Terms of Service
Plain-English summary
- Prodrooms lets you share your screen and audio live and, if you choose, hand control of your own computer to someone you invite. You are always in charge: you start the room, you decide who gets control, and you can take control back or close the room at any time.
- When you host and grant control, you are letting a guest move your real mouse and keyboard. Only share the window you mean to share, and only invite people you trust. What a guest does while you give them control is your responsibility for choosing to invite and grant them.
- Everyone in a room can see and hear what you share. Do not stream other people, phone calls, or anyone who has not agreed to be in the room. We do not record your sessions.
- Do not use Prodrooms to break into anyone's computer, to share content you do not have the right to share, or to do anything illegal. If you stream music or other content, that is on you.
- This is an early beta. Things will break, features will change, and your data may be reset. It is provided as-is with no guarantees.
- You must be 18 or older.
- We collect the minimum to run the service and we do not sell your data or run ad trackers.

These Terms are a binding agreement between you and Che Israel Olea ("Prodrooms," "we," "us") governing your use of prodrooms.com and the Prodrooms host application (together, the "Service"). By creating an account, redeeming a code, hosting or joining a room, or otherwise using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility and age
You must be at least 18 years old to use the Service. By using it you represent that you are 18 or older and that you can form a binding contract. The Service is not directed to children, and we do not knowingly collect personal information from anyone under 18.
2. Accounts
You are responsible for your account, for keeping your login secure, and for all activity under it. Provide accurate information. You may sign in with email and password or with a supported third-party login (Google or Discord). You may delete your account at any time from your account settings.
When you host and grant control, you are handing a guest the real mouse and keyboard of your own computer. Only share the window you mean to share, only invite people you trust, and take control back or close the room whenever you want. What a guest does while you give them control is your responsibility for choosing to invite and grant them. Prodrooms is only the pipe; we do not watch or run your sessions.
3. The Service and remote control
Prodrooms lets a "host" share a live view and audio of a chosen window from the host's computer, and lets the host grant a "guest" real-time control of the host's mouse and keyboard. You understand and agree that:
- a. Control is granted only by the host, is turn-based with one driver at a time, and can be revoked by the host, who can also close the room, at any time.
- b. When you host and grant control, you are permitting a guest to operate your actual computer. You accept the risk of doing so. You are responsible for choosing which window to share and whom to invite and grant control, and for not exposing files, accounts, or information you do not intend to share.
- c. When you are a guest with control, you may act only within the window and scope the host has shared. You must not use control to access, view, copy, alter, or damage anything the host has not chosen to share, or to reach any other part of the host's system.
- d. Prodrooms is a conduit. We do not monitor or supervise sessions in real time and are not responsible for what hosts or guests do during a session.
- e. ASSUMPTION OF RISK AND RELEASE. YOU UNDERSTAND THAT GRANTING CONTROL LETS A GUEST OPERATE YOUR KEYBOARD, MOUSE, FILES, AND APPLICATIONS, AND THAT PRODROOMS DOES NOT CONTROL WHAT A GUEST DOES. YOU KNOWINGLY AND VOLUNTARILY ASSUME THAT RISK. YOU ARE RESPONSIBLE FOR BACKING UP YOUR DATA, FOR CHOOSING WHOM TO INVITE, AND FOR REVOKING CONTROL OR CLOSING THE ROOM. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU RELEASE PRODROOMS AND ITS OPERATOR FROM CLAIMS FOR LOSS OR DAMAGE CAUSED BY A GUEST'S ACTIONS DURING A SESSION YOU CHOSE TO HOST.
- f. Guest responsibility. As between the participants and Prodrooms, the guest, not Prodrooms, is responsible for any loss or damage the guest causes while controlling a host's machine, and the host assumes the risk of the access the host grants.
4. Consent to live sharing
Rooms are real-time. Everyone who joins a room can see and hear what the host shares. By hosting, you consent to your shared screen and audio being transmitted to everyone in the room. By joining, you consent to receiving it. You must not stream, transmit, or capture the communications, voice, image, or screen of any person who has not consented to being in the room, including phone or video calls with third parties. We do not record sessions. If we ever offer a recording feature, we will require separate, explicit consent from everyone in the session before any recording begins.
5. Acceptable use
You will not use the Service to: gain or attempt to gain unauthorized access to any computer, system, network, account, or data; violate the federal Computer Fraud and Abuse Act, the Florida Computer Crimes Act, or any other law; intercept or record any person's communications without the consent of all parties; infringe intellectual property or other rights; transmit malware or disruptive code; harass, threaten, defraud, or harm anyone; circumvent access controls, usage limits, or security; resell or provide the Service to others without our permission; or use the Service in any unlawful, deceptive, or abusive way. We may suspend or terminate access for any violation.
6. Your content and third-party content
You are solely responsible for everything you share, stream, type, display, or transmit through the Service, including any music, audio, images, software, or other material, and for having all rights and permissions needed to do so. If you stream copyrighted material, you represent that you own it or are licensed to use it in that way. We do not claim ownership of your content. You grant us only the limited technical rights needed to transmit and relay your content to the other participants you have chosen, and to operate the Service.
7. Copyright and repeat infringers
We respect intellectual property rights and expect you to do the same. If you believe content transmitted through the Service infringes your copyright, send a notice to legal@prodrooms.com that includes the information described in 17 U.S.C. 512(c)(3): your signature (physical or electronic), identification of the copyrighted work, identification of the infringing material and where it is, your contact information, a statement of good-faith belief that the use is not authorized, and a statement under penalty of perjury that the notice is accurate and that you are authorized to act. We may remove or disable access to material, and we will terminate, in appropriate circumstances, the accounts of users who are repeat infringers. If you believe material was removed in error, you may send a counter-notice with the information described in 17 U.S.C. 512(g).
8. Beta
The Service is a pre-release beta provided on an as-is and as-available basis. There is no uptime commitment or service level agreement. Features may change, be added, or be removed at any time. Rooms, sessions, accounts, and other data may be reset, wiped, or lost. Access is invite-only and may be limited, changed, or revoked, and the beta may end, at any time and without notice.
9. Payments, billing, refunds and taxes
Who pays. Hosting is what costs money on Prodrooms. Guests never pay to enter a room. Some features require a paid subscription (a plan, a team plan) or a one-time purchase (a day pass, a pack of hours, a look from the shop, a gift, a ticket, a tip, a booked session).
Subscriptions. If you subscribe, you authorize us, through our payment processor Stripe, to charge your payment method the stated recurring fee until you cancel. Subscriptions auto-renew each billing period until canceled. You can cancel at any time from your account; cancellation stops future charges but does not refund the current period. A team plan bills per seat; the team's owner is responsible for it.
One-time purchases. A day pass starts when it is bought and ends twenty-four hours later; a gifted month starts when it is bought. Packs of hours never expire. Looks are delivered at once. Tickets and tips are delivered at once to the host's connected account, less our platform fee.
Booked sessions. A booked session is a contract between you and the person you booked; we hold the payment through Stripe and release it to them, less our platform fee (twelve percent unless stated otherwise at checkout), once the session has happened. If the provider cancels, you are refunded in full. If you cancel before the session starts, the provider decides and we refund on their word; a no-show is not refunded. Disputes are decided by us on the record the room kept.
Refunds. Except where the law requires otherwise, subscription fees, day passes, hours, looks, gifts and tips are non-refundable; we may issue refunds at our discretion, and we do when something of ours was broken. Chargebacks filed instead of asking us may close the account.
Prices and taxes. Prices, plans, and limits may change; we will give notice of changes to recurring prices before they take effect. Prices are in US dollars. Sales tax, VAT or GST is added at checkout where the law requires, calculated by Stripe Tax from the billing address you give; you are responsible for any tax not collected there.
Age. You must be an adult under the law where you live to pay for anything, to tip, or to be paid; a person who receives money through Prodrooms must also complete Stripe's identity checks. Teen accounts cannot buy, tip, or sell.
Stripe. Stripe processes your payment and card details under its own terms and privacy notice; we do not receive your full card number. People who receive money agree to the Stripe Connected Account Agreement as well.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DATA WILL BE PRESERVED. YOU USE THE SERVICE, INCLUDING THE REMOTE-CONTROL FEATURE, AT YOUR OWN RISK.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRODROOMS AND ITS OPERATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, OR DAMAGE TO YOUR COMPUTER OR SYSTEMS, ARISING FROM OR RELATED TO THE SERVICE OR THE ACTIONS OF ANY HOST OR GUEST. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM OR 100 U.S. DOLLARS. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR ANYTHING THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
12. Indemnification
You will indemnify and hold harmless Prodrooms and its operator from any claims, damages, losses, and costs (including reasonable legal fees) arising from your use of the Service, your content, your conduct as a host or guest, your grant or use of remote control, or your violation of these Terms or of any law or third-party right.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without cause, including for any violation of these Terms or during or at the end of the beta. Sections that by their nature should survive termination (including content ownership, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
14. Governing law and venue
These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Volusia County, Florida, and you consent to their jurisdiction. Either party may bring an eligible claim in Florida small-claims court.
There is no forced arbitration. If we have a dispute we could not settle, either of us can go to court in Volusia County, Florida, and small claims is an option. You do agree not to bring or join a class action, and both sides give up the right to a jury trial.
15. Dispute resolution; class action and jury-trial waiver
Please read this carefully; it affects how disputes are resolved. Before filing anything, the parties agree to first try in good faith to resolve the dispute informally by written notice to the other (to legal@prodrooms.com for Prodrooms) and 30 days to respond. Either party may then bring an individual claim in the courts identified in Section 14, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access matters. YOU AND PRODROOMS AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING, AND EACH WAIVES ANY RIGHT TO A JURY TRIAL. If this class-action waiver is found unenforceable, only that waiver is severed and the remainder of these Terms stays in effect, and any class or representative claim will proceed only in the courts identified in Section 14.
16. Changes to these Terms
We may update these Terms. If we make material changes we will update the effective date and, where reasonable, give notice. Continued use after changes take effect means you accept them.
